01About Us & These Terms

AI QS is a trading name of TheAIQS Ltd, a company registered in the United Kingdom. These Terms and Conditions ("Terms") govern your use of the AI QS website at theaiqs.co.uk, the AI QS Portal at aiqs-portal.onrender.com, the Send Drawings submission form, and all related services (collectively, the "Service").

By accessing or using any part of the Service, submitting drawings, purchasing a subscription, or engaging with any AI QS deliverable, you ("the Client", "you") agree to be bound by these Terms in full. If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you and TheAIQS Ltd.

02Definitions

In these Terms:

• "AI System" means the artificial intelligence models, algorithms, and automated processes used by AI QS to generate Bills of Quantities, Findings Reports, and other deliverables.
• "Deliverables" means any output produced by the Service, including but not limited to Excel BOQs, Word Findings Reports, annotated take-offs, cost estimates, feasibility assessments, and rate schedules.
• "Drawings" means any plans, elevations, sections, specifications, sketches, photographs, briefs, or other documents submitted by the Client.
• "Market Rates" means the construction cost data, labour rates, material prices, and benchmarks used within the AI System, sourced from industry databases, historical project data, and publicly available pricing information.
• "Portal" means the AI QS client portal at aiqs-portal.onrender.com.

03Service Description

AI QS provides AI-assisted quantity surveying services for construction projects across the United Kingdom and Ireland. The Service uses artificial intelligence to analyse construction drawings, extract measurements, apply market rates, and generate professional documentation.

The Service includes:

• AI-powered quantity take-off from uploaded drawings
• Generation of itemised Bills of Quantities in Excel format
• Generation of Findings Reports in Word format
• Application of UK and Ireland construction market rates
• Client rate training and AI memory features (subscription plans)
• Follow-up support and document revisions (as per your plan)

04AI-Generated Output Disclaimer

You acknowledge and agree that:

• The AI System interprets drawings and specifications algorithmically. It may misread dimensions, overlook details, misidentify materials, or make incorrect assumptions about construction methods.
• Quantities extracted by the AI System are estimates only and are not a substitute for a manual quantity take-off by a qualified, chartered quantity surveyor.
• Market rates applied are approximate benchmarks derived from industry data. They may not reflect current local market conditions, specific supplier pricing, specialist subcontractor rates, or project-specific requirements.
• Deliverables do not constitute a formal valuation, a contract sum, a tender, a guaranteed maximum price, or a binding cost commitment of any kind.
• The AI System does not perform structural calculations, building regulations compliance checks, planning assessments, CDM assessments, or any engineering analysis.
• AI QS does not warrant that any Deliverable is complete, accurate, fit for purpose, or suitable for any specific use including tendering, procurement, contract administration, or financial decision-making.

05Client Responsibilities

The Client is responsible for:

• Providing accurate, legible, and complete drawings and specifications. The quality and completeness of the Deliverables is directly dependent on the quality of input provided.
• Informing AI QS of any unusual project requirements, non-standard specifications, site-specific conditions, or constraints that may affect pricing or measurement.
• Reviewing all Deliverables thoroughly before use, distribution, or reliance.
• Ensuring that any Deliverable used for tendering, procurement, or contract purposes has been independently verified by a qualified professional.
• Ensuring that they have the right to share any drawings, specifications, or documents uploaded to the Service.
• Maintaining the security of their Portal account credentials and not sharing login access with unauthorised parties.

06Accuracy & Limitations

While AI QS strives to produce high-quality, accurate Deliverables, you acknowledge that:

• No Bill of Quantities, whether AI-generated or manually produced, can guarantee 100% accuracy. Construction cost estimation inherently involves assumptions, interpretations, and professional judgement.
• The AI System is trained on historical data and industry benchmarks that may not fully represent current market conditions, regional variations, or specialist trades.
• Drawings that are incomplete, low-resolution, ambiguous, or lacking key details (e.g. missing sections, no specification notes) will produce less accurate results. AI QS will flag known gaps but cannot identify every omission.
• Rates applied are based on general UK and Ireland market data unless the Client has trained custom rates via the Rate Training feature. Even trained rates are applied algorithmically and may be mismatched to specific items.
• The human review process included in the Service is a sense-check for obvious errors and is not equivalent to a full independent audit or professional sign-off.
• Deliverables do not account for: site access constraints, ground conditions, contamination, party wall matters, planning conditions, listed building consent requirements, asbestos or hazardous materials, or any factor not evident from the drawings provided.

07No Professional Reliance

You acknowledge that:

• AI QS is a technology-assisted cost estimation service, not a chartered quantity surveying practice.
• Deliverables are produced as a starting point and productivity tool. They are not a replacement for the professional judgement of a qualified, RICS-accredited or equivalent quantity surveyor.
• No duty of care is owed to the Client or any third party in respect of the accuracy, completeness, or fitness for purpose of any Deliverable.
• The Client must not represent to any third party that a Deliverable constitutes professional advice, a professional valuation, or a document prepared by a chartered quantity surveyor, unless independently verified and adopted by such a professional.
• Any third party who receives or relies upon a Deliverable does so entirely at their own risk. AI QS accepts no liability whatsoever to third parties.

08Limitation of Liability

To the maximum extent permitted by law:

• AI QS (TheAIQS Ltd) shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or in connection with the use of the Service or any Deliverable, including but not limited to: loss of profit, loss of revenue, loss of contracts, loss of anticipated savings, loss of business opportunity, cost overruns, tender losses, construction defects, delays, or any financial loss howsoever arising.
• In any event, AI QS's total aggregate liability for all claims arising from or related to the Service shall not exceed the amount paid by the Client to AI QS in the three (3) months immediately preceding the event giving rise to the claim.
• AI QS is not liable for any errors, omissions, or inaccuracies in Deliverables, whether caused by the AI System, human review, data input errors, drawing interpretation, rate application, or any other factor.
• AI QS is not liable for any loss arising from the Client's failure to independently verify Deliverables before use.
• AI QS is not liable for the actions, decisions, or reliance of any third party who receives a Deliverable from the Client.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

09Indemnification

The Client agrees to indemnify, defend, and hold harmless AI QS (TheAIQS Ltd), its directors, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or in connection with:

• The Client's use of or reliance on any Deliverable.
• The Client's distribution of any Deliverable to third parties.
• Any third party's reliance on a Deliverable provided by or through the Client.
• Any breach of these Terms by the Client.
• Any claim that drawings or documents uploaded by the Client infringe the intellectual property rights of a third party.

10Intellectual Property

Client's IP: The Client retains all intellectual property rights in their uploaded drawings, specifications, and documents. By uploading, the Client grants AI QS a limited, non-exclusive licence to use, process, and analyse those materials solely for the purpose of providing the Service.

AI QS's IP: AI QS retains all intellectual property rights in the AI System, algorithms, software, templates, formatting, rate libraries, and proprietary methodologies. The Client receives a non-exclusive, non-transferable licence to use the Deliverables for their own business purposes.

The Client may not resell, sublicence, or commercially distribute AI QS Deliverables as a standalone product or service without prior written consent.

11Pricing & Payment

• Prices for the Service are as stated on the AI QS website at the time of purchase.
• Subscription plans are billed monthly via Stripe. By subscribing, you authorise recurring charges to your payment method.
• Pay-per-BOQ charges (Starter plan) are charged at the point of document generation.
• All prices are in GBP and exclusive of VAT unless stated otherwise.
• AI QS reserves the right to change pricing at any time. Existing subscribers will be given at least 30 days' notice of any price increase.
• Failed payments may result in suspension of access to the Service until the balance is settled.

12Refunds & Cancellations

• Subscription plans may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No pro-rata refunds are provided for partial months.
• Pay-per-BOQ charges are non-refundable once document generation has commenced.
• If a Deliverable is materially defective (e.g. the wrong project was priced, files were corrupted), AI QS will re-generate the Deliverable at no additional cost or, at its discretion, issue a credit.
• Dissatisfaction with the accuracy or completeness of an AI-generated Deliverable does not constitute a defect for the purposes of a refund, given the inherent limitations of AI-assisted estimation as described in these Terms.

13Data, Privacy & File Uploads

• Drawings and documents uploaded via the Service are stored securely on Google Drive and processed via encrypted connections.
• AI QS uses uploaded materials solely for the purpose of providing the Service. Materials are not shared with unrelated third parties.
• AI QS may use anonymised, aggregated data derived from projects (e.g. average rates, common material specifications) to improve the AI System. No individually identifiable project data will be disclosed.
• Personal data (name, email, phone number) is collected and processed in accordance with UK GDPR. We use this data to deliver the Service, communicate with you about your projects, and send service-related updates.
• You may request deletion of your personal data and uploaded files at any time by emailing hello@crmwizardai.com.
• AI QS uses third-party processors including Anthropic (AI processing), Google (file storage), Stripe (payments), and Pipedream (workflow automation). These processors are bound by their own data protection obligations.

14Confidentiality

AI QS treats all Client drawings, project details, and business information as confidential. We will not disclose your project information to competitors, other clients, or unrelated third parties.

However, you acknowledge that materials are processed through third-party AI and cloud services as described in Section 13, and AI QS cannot guarantee absolute confidentiality in respect of those third-party processors.

15Availability & Downtime

AI QS aims to provide the Service on a continuous basis but does not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, server issues, third-party API outages, or circumstances beyond our control.

AI QS shall not be liable for any loss or inconvenience caused by temporary unavailability of the Service.

16Third-Party Services

The Service relies on third-party platforms and APIs. AI QS is not responsible for the performance, availability, terms, or data practices of third-party services including but not limited to: Anthropic (Claude AI), Google Cloud and Google Drive, Stripe, Pipedream, Render, and Hostinger.

17Termination

AI QS may suspend or terminate your access to the Service immediately if:

• You breach any provision of these Terms.
• You use the Service for unlawful purposes or in a manner that could damage, disable, or impair the Service.
• Payment is overdue by more than 14 days.

Upon termination, your right to use Deliverables already generated and paid for is not affected. AI QS may delete your Portal account data and uploaded files 90 days after termination.

18Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation by contacting hello@crmwizardai.com. If the dispute cannot be resolved within 30 days, either party may pursue formal legal proceedings.

19Changes to These Terms

AI QS reserves the right to update these Terms at any time. Material changes will be communicated via email to registered users and/or by posting a notice on the website. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

20Contact & Governing Law

These Terms are governed by and construed in accordance with the laws of Scotland and the United Kingdom. The courts of Scotland shall have exclusive jurisdiction in respect of any disputes.
